GENERAL TERMS AND CONDITIONS OF SALE

  1. General: THESE 2SHADES BOUTIQUE, LLC (“2Shades”) GENERAL TERMS AND CONDITIONS (the “Agreement”) WILL APPLY TO ALL ONLINE SALES BY 2SHADES TO CUSTOMER (the “Customer”) OF ITEMS OF CLOTHING, FASHION ACCESSORIES, FOOTWEAR AND OTHER PRODUCTS (the “Products”), THROUGH 2SHADES’ WEBSITE. THE PRODUCTS SHALL BE MORE SPECIFICALLY DESCRIBED ON THE SITE UNDER SPECIFIC APPAREL CATEGORIES WITH SPECIFIC PRICING STATED THEREIN. ALL ONLINE PRODUCT PURCHASE ORDERS ACCEPTED BY 2SHADES, AS WELL AS ANY 2SHADES DUTIES PURSUANT TO SUCH ORDERS, ARE EXPRESSLY CONDITIONED ON CUSTOMER’S AGREEMENT TO AND ACCEPTANCE OF THE TERMS SET OUT HEREIN. 2SHADES’S FAILURE TO OBJECT TO PROVISIONS CONTAINED IN ANY COMMUNICATION FROM CUSTOMER SHALL NOT BE DEEMED A WAIVER OF THE PROVISIONS CONTAINED IN THIS AGREEMENT. Customer’s acceptance of Products and the Customer’s click of accept on the completion and processing of any sale online for the purchase of Products by Customer will constitute Customer’s acceptance of this Agreement and an agreement to be bound by its terms and conditions.
  1. Checkout:

When you are ready to complete your purchase, simply go to Checkout and follow these steps to place your order:

FOR REGISTERED USERS: If you are a returning customer and have an account with 2Shades,

please sign in using your email address and password and you will be taken directly to the

first Checkout tab.

FOR NON-REGISTERED USERS: If you are not registered, you can proceed without creating an account or you can create an account.

Billing and Shipping Tab: Enter your billing information as it appears on your credit card

statement. Your credit card will not be accepted without the appropriate billing address

and telephone number. If you are a returning customer, your billing address will automatically

appear on the Billing and Shipping page. If the shipping address is different than the billing address,

enter the address where you would like your order shipped.

  1. Payment Information: At this time, you must verify your address information is correct, review your order and then enter your payment method and click "Place Order".
  1. Pricing and Taxes: Prices on Products are subject to change at any time and the listed price for a Product at the time of completion of an order to purchase online shall be the binding price. All stated prices are exclusive of any taxes, however designated or imposed, based upon the amounts paid for the Products on the Site (collectively, “Taxes”). Any Taxes related to the Products purchased pursuant to this Agreement are the responsibility of Customer (excluding taxes based on 2Shades’s net income). If possible, 2Shades will bill Taxes as a separate item on the online invoice presented to Customer prior to completing an order.
  1. Payment: All amounts owed for the purchase of Product shall be processed at the time of order checkout through the use of a credit card or debit card.
  1. Payment Summary: After you complete the checkout process, the Purchase Summary page confirms detailed of the order you have placed and also provides you with a Purchase Summary reference number. We recommend that you print this Purchase Summary page for your records as it may be needed for order references.
  1. Secure Shopping: We use the latest technology encryption method called Secure Socket Layer (SSL). SSL encrypts the transmissions from our ecommerce servers as well as your computer. SSL encryption works by forming a matched pair with the transmission from your computer transmission and our server, so that only data to and from these sources can be valid.
  1. Online Returns:
    1. Shipping costs are non-refundable;
    2. Customers have 14 days from the day their package is delivered to make a return.
    3. Customer is responsible for return charges unless a return is due to an error by 2Shades in that the item(s) purchased were defective or incorrect.
    4. Please email orders@2shadesboutique.com for additional shipping and return instructions including what address to send return items to.
    5. Place the packing slip in the return package, and if you lost that, please place a note in the package with your first and last name, order#, phone# and why you are returning it.
    6. Refunds are issued back to original method of payment.
    7. Returns must be received unwashed, unworn, odor free, pet hair free, and in new condition. Tags must be attached.
    8. Items returned stained or scented will be sent back to you and not accepted for a return.
    9. Refunds are processed within five (5) business days of receiving the item, net of any shipping costs incurred by 2Shades.
    10. Please allow up to ten (10) business days after your return has been processed to see return in your bank account as it varies depending on financial institution.
    11. Shoes must be unworn and returned in original box. If box has shipping label or tape on it, the shoes will not be accepted for return. We recommend trying shoes on carpeted area so no scuffs are made on bottom of shoes. If they have scuffs, they will not be accepted for return.
    12. Gift cards cannot be returned.
    13. SALE ITEMS AND CLEARANCE ITEMS ARE FINAL SALE AND MAY NOT BE RETURNED.
    14. Promo items are FINAL SALE

When returning something to us, we recommend using a trackable shipping service or buying insurance to ensure we receive your item. We are not responsible if the items do not get delivered to us.

Because our inventory moves so quickly, we do not offer exchanges. If an item does not work for you and you would like to try something new, please place an online order of the new item you would like to try before sending back your return. Once you have placed your new order, you may return your item that did not work for you by following our instructions under our Online Returns policy.

  1. Damaged Items: Damaged items must be reported to us within five (5) days of receiving the item or the return will not be accepted. Please take pictures of the damaged item and email the pictures along with your name, phone number, and your order number or a picture of your receipt to info@2shadesboutique.com. We will contact you shortly after that with further instructions.
  1. Missing/Incorrect Items in Orders: We double check every order before it goes out the door, but mistakes happen! If you receive the wrong item, or are missing an item, let us know by emailing with your order number and the name of the item that is wrong. All reports must be made within 14 days of receiving your order or it will not be accepted. We'll send you a prepaid return label to ship back the incorrect item. Once you've received the label, please send back the incorrect item as soon as possible so that we can ship you the correct item.
  1. Shipping & Delivery: 2Shades Boutique is committed to processing orders promptly and we do our best to ship orders in the U.S within 1-3 business days after an order is placed. Holiday season might delay this process as we receive a higher volume of orders. Unfortunately, at this time, we are unable to combine customer orders. All U.S orders within the continental U.S. over $100.00 receive free shipping, and any U.S order under $100.00 pays all shipping fee as calculated at the time of checkout that is nonrefundable.

We ship all packages via USPS or UPS (if you choose such shipping option- which may incur additional shipping fees). Once your order has been shipped, you will receive an e-mail containing the tracking information, including a tracking number corresponding with the type of delivery service. If you have questions about how your package will be shipped, please contact us.

  1. Lost Packages: Your tracking number says that your packages has been delivered but you still haven't received your order? We're so sorry! Let's sort it all out. Follow these steps:
    1. Wait at least two full business days after your tracking number says "delivered." There's a good chance it will show up.
    2. If it has been three or more business days, file a claim with United States Postal Service.
      (All you'll need is the tracking number).
    3. Once your claim has been filed, follow the instructions provided by USPS (They will notify your local post office and search for your package.).
    4. If your package is not delivered in an allotted time period provided by the USPS, it will be considered officially lost. If this happens, contact us at info@2shadesboutique.com with your first and last name, order number, and a picture or copy of the email from USPS.
  1. Cancellation and Changes: Once a Customer submits an order to purchase Products on the website and the order is processed and completed, Customer may not thereafter cancel, modify or change the order.



  1. Warranties; Limitations on Liability: 2Shades warrants to Customer that (i) the Products will be in new condition and free of defects when shipped. Customer’s sole and exclusive remedy for any warranty breach under this Section is to return the Product by complying with the terms and conditions in Sections 8 and 9 in these terms of sale. 2SHADES MAKES NO OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO THE PRODUCTS AND EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING, FITNESS FOR A PARTICULAR PURPOSE OR THAT A PARTICULAR SIZE WILL CONFORM TO A CUSTOMER’S BODY TYPE. EXCEPT AS OTHRWISE WARRANTIED ABOVE IN THIS SECTION, THE PRODUCTS AND SERVICES DESCRIBED ON THE WEBSITE OR IN ANY PURCHASE ORDER ARE PROVIDED “AS-IS,” AND 2SHADES DOES NOT WARRANT THAT THEY WILL MEET CUSTOMER’S NEEDS OR REQUIREMENTS. UNDER NO CIRCUMSTANCES WILL 2SHADES’S TOTAL LIABILITY OF ALL KINDS ARISING OUT OF OR RELATED TO THE PURCHASE AND SALE OF PRODUCTS, REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT OR OTHERWISE, EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER TO 2SHADES HEREUNDER FOR THE PRODUCT(S) GIVING RISE TO SUCH LIABILITY.
  1. Governing Law and Venue: This Agreement and performance by the parties hereunder shall be construed in accordance with the laws of the State of Washington, U.S.A. without regard to provisions on the conflicts of laws. Any action arising out of any dispute between any of the parties with respect to any of the transactions contemplated hereby shall be brought in the federal or state courts located in Clark County, Vancouver, Washington, and each of the parties hereto hereby submits itself to the exclusive personal jurisdiction of such courts for purposes of any such action. Customer agrees that service upon Customer in such action or proceeding may be made by first class mail, certified or registered, to such Customer’s address last appearing on the records of 2Shades. The non-prevailing party will pay the prevailing party’s reasonable attorneys’ fees and costs incurred in connection with any legal action initiated by either party in order to enforce this Agreement or any of its provisions, or in connection with any alleged dispute, breach, default, interpretation, or misrepresentation of this Agreement.
  1. Miscellaneous. Customer acknowledges that is has not been induced to purchase any Products from 2Shades by any representation or warranty not expressly set forth in this Agreement. This Agreement constitutes the entire agreement of the parties and supersedes all existing agreements and all other oral or written communications between them concerning its subject matter. If there is a conflict between the provisions of any online Purchase Order and this Agreement, then the terms of this Agreement will govern. No failure to exercise, or delay in exercising, any rights, remedy, power, or privilege arising from this Agreement operates or may be construed as a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power or privilege. If any provision of this Agreement is held to be prohibited or unenforceable, the provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
